Acceptance of Terms

By accessing or using the Prite website (“Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and Prite regarding your use of the Site and any services offered through the Site, including but not limited to information about LED lighting solutions, smart home lighting products, and related technologies.

If you do not agree to these Terms, you must not access or use the Site. We recommend printing a copy of these Terms for your records.

Site Access and Account Security

Prite grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for informational purposes and to explore LED lighting products and smart home lighting solutions featured on the Site. This license does not include the right to:

Intellectual Property Rights

Trademarks

The Prite name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Prite or its affiliates. You may not use such marks without the prior written permission of Prite. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners and may not be used without permission.

Content Usage Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes

User Contributions and Site Content

Monitoring and Enforcement

Prite has the right to:

  • Remove or refuse to post any User Contributions for any reason
  • Take any action with respect to User Contributions that we deem necessary or appropriate
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
  • Take appropriate legal action for any illegal or unauthorized use of the Site
  • Terminate or suspend your access to all or part of the Site for any violation of these Terms

Affiliate Linking and Third-Party Content

As disclosed in our Affiliate Disclosure, Prite participates in the Amazon Associates Program and potentially other affiliate marketing programs. The Site contains links to third-party websites, including Amazon and other retailers, that allow you to purchase LED lighting products, smart home devices, and related items.

Prite makes efforts to provide accurate information about LED lighting products, smart home lighting solutions, and related items featured on the Site. However, we do not warrant that product descriptions, pricing, availability information, or other content on the Site is accurate, complete, reliable, current, or error-free. Prices and availability of products are subject to change without notice.

Indemnification

You agree to defend, indemnify, and hold harmless Prite, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Contributions
  • Your use of the Site, including, but not limited to, your use of content other than as expressly authorized in these Terms
  • Your use of any information obtained from the Site

Governing Law and Dispute Resolution

These Terms and any disputes or claims arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the applicable laws, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts located in the jurisdiction where Prite maintains its principal place of business, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

Termination

Prite may terminate or suspend your access to all or part of the Site, without notice, for any conduct that Prite, in its sole discretion, believes is in violation of these Terms, any applicable law, or is harmful to the interests of another user, a third-party provider, a service provider, or Prite.

Upon termination, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site, or you may follow the instructions for account termination if such functionality is available on the Site.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Miscellaneous

Entire Agreement

These Terms, our Privacy Policy, and our Affiliate Disclosure constitute the sole and entire agreement between you and Prite regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Waiver and Severability

No waiver by Prite of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Prite to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Prite without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
